AREAS OF PRACTICE
Banking & Finance. The firm’s banking practice involves representation of U.S. and foreign banks and financial institutions in a wide variety of matters. The practice includes legal counseling in connection with compliance with federal and state banking regulations, UCC matters, all types of syndicated and single-bank secured and unsecured loans, credit facilities and other financial transactions, letters of credit, bankers’ acceptances.
Corporate and Mergers. This has included mergers and acquisitions, joint ventures, commercial sales and distributor arrangements, private and public securities offerings, technology transfers, and investment adviser compliance matters.
Real Estate. The firm is active in representing clients in all aspects of the purchase, financing, development, sale and leasing of commercial, industrial and residential real estate, both on behalf of companies seeking the acquisition or leasing of real property for their own corporate use and on behalf of companies involved in real estate for brokerage, investment or syndication purposes.
Litigation. The firm’s litigation practice involves the representation of clients in civil matters in both federal and state courts.
Customs and International Trade. The firm is actively involved in the representation of foreign and domestic clients in connection with customs matters, and all other aspects of international trade.
Creditors’ Right/Bankruptcy. In this area of practice, the firm represents primarily institutional lenders and creditors. The firm’s creditors’ rights practice includes advising clients with respect to insolvency law, creditors’ rights and the reorganization process. The firm represents secured and unsecured creditors, under Chapter 11 or Chapter 7 of the Bankruptcy Code.
Immigration and Nationality Law. The practice involves representation of corporations in the transfer and employment of managers, executives and professionals on a temporary and permanent basis. Specific areas of expertise include: visitors for business, treaty traders & investors, specialty workers with labor condition applications, alien trainees, exchange visitors, intracompany transferees, skilled workers, immigrant investors, labor certification, retention of residence, and naturalization.
Intellectual Property. Included in the firm’s practice in this area is the counseling of clients regarding patent, trademark and copyright matters, from the planning, acquisition and maintenance phase, through the prosecution and defense of infringement actions. The firm is actively involved in licensing of intellectual property rights and in counseling clients in connection with unfair competition matters, false advertising, customs enforcement procedures and product counterfeiting cases.
INTERNATIONAL DIMENSION
In addition to U.S. corporate clients, the firm represents more than 14 foreign banks and financial institutions. The firm’s international experience includes all legal aspects of doing business in the United States by foreign corporations, banks and financial institutions, international investments by U.S. corporations and the acquisition of foreign and multinational concerns, as well as the legal problems associated with multinational litigation and arbitration.
An important characteristic of the firm is its ability to offer direct access to experienced foreign counsel together with close and effective coordination between U.S. and foreign counsel in th handling of complex international legal matters.
